1. Scope and Definitions

1.1 Application

These Event Terms & Conditions (the “Terms”) apply to every registration for a training event, course, bootcamp, workshop or other educational event organised by Focal Point SRL, a company incorporated under Belgian law with offices at Koning Boudewijnlaan 20A, Office 133, 3500 Hasselt, Belgium (“FP”, “we”, “us” or “our”).

These Terms apply together with the event-specific information made available at the time of registration (the “Event Information”).

1.2 Registrant

The “Registrant” means the person or entity that enters into the contract with FP for participation in an Event.

Where an employer, company, public body, educational institution or other organisation registers one or more persons, that organisation is the Registrant and is responsible for compliance with these Terms in respect of the registration and the Participants it registers.

1.3 Participant

The “Participant” means the individual who is registered to attend or participate in an Event.

Where the Registrant is an organisation, the Registrant shall ensure that each Participant is informed of, and complies with, the provisions of these Terms applicable to Participants.

1.4 Consumer

A “Consumer” means a natural person acting for purposes which are wholly or mainly outside that person’s trade, business, craft or profession.

A person acting for professional or business purposes is considered a “Business Customer” for the purposes of these Terms.

1.5 Event

An “Event” means the specific training event, course, bootcamp, workshop or other educational activity for which the Registrant registers.

1.6 Event Information

The “Event Information” means the information published or provided by FP in connection with a particular Event, including, where applicable:

  • the Event title and description;
  • date and duration;
  • location or online platform;
  • price and applicable VAT;
  • trainer or trainers;
  • prerequisites;
  • technical requirements;
  • certification arrangements;
  • materials included;
  • any accreditation or continuing professional development information; and
  • any Event-specific cancellation conditions.

Where Event Information contains provisions specific to an Event, those provisions supplement these Terms.

2. Contract Formation and Registration

2.1 Registration

Registration for an Event constitutes a request to participate in that Event and does not guarantee a place until FP has accepted the registration and the applicable payment requirements have been satisfied.

2.2 Contract formation

Unless otherwise stated in the Event Information, a contract is formed when FP has:

  • received the completed registration;
  • received any required payment; and
  • issued a written registration confirmation by email.

FP may refuse a registration where, for example:

  • the Event is full;
  • the Participant does not meet published prerequisites;
  • payment has not been successfully completed;
  • information provided during registration is materially incorrect; or
  • FP reasonably considers that participation would be inappropriate for the particular Event.

Where FP refuses a registration after payment has been received, FP shall refund the amount paid for that registration.

2.3 Electronic contracting

The Registrant agrees that registration, confirmations, invoices, joining instructions and other contractual communications may be provided electronically.

The Registrant is responsible for ensuring that the email address provided during registration is accurate and capable of receiving FP’s communications.

2.4 Acceptance of the Terms

By completing a registration, the Registrant confirms that it has had the opportunity to read these Terms and agrees to be bound by them.

Where the Registrant registers another person, the Registrant confirms that it has authority to enter into the contract and to register that Participant.

2.5 Capacity and authority

The person completing a registration on behalf of an organisation represents that they are authorised to do so and to bind the organisation to these Terms.

3. Prices and Payment

3.1 Prices

Unless otherwise stated in the Event Information, all prices are stated in euro (EUR) and are inclusive of applicable VAT.

The applicable price is the price displayed at the time the registration is submitted.

3.2 Included and excluded costs

Unless expressly stated otherwise, the Event fee includes only the services and materials expressly identified in the Event Information.

Travel, accommodation, meals, parking, equipment and other personal expenses are excluded unless expressly stated otherwise.

3.3 Payment

Payment shall be made using the payment method made available by FP at registration.

Online payments may be processed through a third-party payment service provider, including Stripe.

FP does not receive or store the Registrant’s full payment-card details where these are processed directly by the relevant payment service provider.

3.4 Payment obligation

Where the registration requires advance payment, the place shall not be confirmed until the required payment has been successfully received or otherwise confirmed by FP.

3.5 Payment failure

If a payment is unsuccessful, reversed or charged back, FP may suspend or cancel the registration until payment has been received.

For Business Customers, FP may also charge statutory interest and recover any legally recoverable costs resulting from late payment.

3.6 Invoices

Where an invoice is requested or required, the Registrant shall provide accurate invoicing details at registration.

4. Event Information and Delivery

4.1 Format

Events shall be delivered online or in person as stated in the Event Information.

For online Events, FP may use third-party platforms or services, including video-conferencing, learning-management, hosting and communication platforms.

4.2 Joining instructions

For online Events, joining instructions and relevant access information will normally be sent to the email address provided during registration at least 48 hours before the Event, where reasonably practicable.

4.3 Technical requirements

The Registrant and Participant are responsible for ensuring that they have:

  • an appropriate device;
  • compatible software and browser;
  • a suitable internet connection;
  • any required audio or video equipment; and
  • any other technical requirements specified in the Event Information.

FP shall not be responsible for a Participant’s inability to participate where this results solely from the Participant’s equipment, software, internet connection or other technical environment.

4.4 Prerequisites

The Registrant and Participant are responsible for ensuring that any prerequisites specified in the Event Information are satisfied.

FP may restrict participation in particular exercises or activities where a Participant does not satisfy applicable prerequisites.

4.5 Changes to an Event

FP may make reasonable changes to an Event, including changes to:

  • the timetable;
  • session order;
  • trainer;
  • platform;
  • venue; or
  • individual elements of the content,

provided that the Event remains substantially equivalent in nature, standard and scope.

Where FP makes a material change to an Event, FP shall, where reasonably practicable, offer the Registrant the choice of:

  • attending the changed Event;
  • transferring the registration to an equivalent Event; or
  • receiving a refund of the fee paid for the affected Event.

4.6 Trainers

FP may replace a trainer with another suitably qualified trainer where reasonably necessary, including because of illness, unavailability or other circumstances outside FP’s reasonable control.

5. Cancellation by the Registrant

5.1 Business Customers: contractual cancellation

Unless different cancellation conditions are stated in the Event Information, a Business Customer may cancel a registration by notifying FP by email at info@focalpoint-sprl.be.

Where cancellation is received:

  • 30 days or more before the Event: the Business Customer shall receive a full refund.
  • Between 15 and 29 days before the Event: the Business Customer shall receive a refund of 50% of the Event fee.
  • Less than 15 days before the Event: no contractual refund shall be due.

These contractual cancellation provisions do not affect any rights arising under mandatory applicable law.

5.2 No-show

Failure to attend an Event does not, by itself, entitle a Business Customer to a refund.

6. Transfers and Substitutions

6.1 Substitution

A Registrant that cannot attend may nominate a substitute Participant at no additional charge by emailing info@focalpoint-sprl.be at least five working days before the Event.

6.2 Conditions

The substitute must satisfy any prerequisites applicable to the Event and must agree to comply with these Terms. FP may refuse a substitute where the substitute does not satisfy the published prerequisites or where participation would materially affect the Event.

6.3 Responsibility

The original Registrant remains responsible for any payment obligations relating to the registration unless FP expressly agrees otherwise.

6.4 Certification

Any certificate or attendance record will be issued to the Participant who actually attends and satisfies the applicable certification requirements.

7. Cancellation or Postponement by FP

7.1 Minimum participation

Events may be subject to a minimum number of confirmed Participants. If the minimum number is not reached, FP may cancel or postpone the Event.

7.2 Other grounds for cancellation

FP may also cancel or postpone an Event where reasonably necessary because of:

  • trainer unavailability;
  • venue or platform problems;
  • technical difficulties;
  • safety or security concerns;
  • regulatory or legal requirements;
  • circumstances constituting force majeure; or
  • other circumstances which make delivery of the Event impracticable.

7.3 Notice

FP shall notify Registrants as soon as reasonably practicable after deciding to cancel or postpone an Event.

7.4 Rescheduling

Where reasonably practicable, FP may offer the Registrant a transfer to rescheduled dates or an equivalent Event.

7.5 Refund

If FP cancels an Event and does not provide an acceptable replacement or transfer, FP shall refund the amount paid for the cancelled Event.

7.6 Other costs

Except where otherwise required by mandatory law, FP shall not be responsible for travel, accommodation, parking or other costs incurred by a Registrant or Participant in connection with an Event that FP cancels or postpones.

8. Attendance and Certification

8.1 Attendance

Participants are expected to attend the Event for the full scheduled duration unless the Event Information provides otherwise.

8.2 Certificate of Completion

Unless otherwise stated in the Event Information, FP may issue a Certificate of Completion to Participants who attend the Event in full and satisfy any stated completion requirements.

8.3 Partial attendance

Partial attendance does not automatically qualify for a Certificate of Completion.

8.4 Accreditation

Where an Event is described as accredited or eligible for continuing professional development or similar recognition, the applicable accreditation is subject to the terms and requirements of the relevant accrediting body. FP does not guarantee that a particular professional body, employer, regulator or other organisation will recognise the Event or Certificate for a particular purpose.

9. Participant Conduct and Cybersecurity Training Rules

9.1 Lawful use

Where an Event includes cybersecurity, penetration-testing, offensive-security or similar material, demonstrations and techniques are provided solely for lawful educational and defensive purposes.

The Registrant and Participant shall not use any technique demonstrated during an Event against any system, network, account, device or data without the documented authorisation of its owner.

9.2 Training environments

Practical exercises shall be performed only within environments expressly provided or authorised by FP for that purpose.

9.3 Prohibited activities

Participants shall not:

  • attempt to access another Participant’s environment;
  • bypass access controls imposed by FP;
  • interfere with the availability of an Event or training environment;
  • deploy malware outside an expressly authorised training environment;
  • extract data belonging to another Participant;
  • attack FP’s infrastructure or third-party infrastructure;
  • share access credentials; or
  • use Event access for an unlawful or unauthorised purpose.

9.4 Compliance with law

The Registrant and Participant are responsible for complying with all applicable laws and regulations, including legislation concerning unauthorised access to computer systems, data protection and intellectual property.

9.5 Removal from an Event

FP may immediately suspend or remove a Participant from an Event where the Participant:

  • breaches this clause;
  • engages in abusive, threatening or seriously disruptive conduct;
  • compromises the security of the Event or other Participants;
  • shares access with an unauthorised person; or
  • otherwise materially interferes with the proper delivery of the Event.

Unless otherwise required by mandatory law, removal for such reasons does not entitle the Participant or Registrant to a refund.

10. Access Credentials and Security

10.1 Personal access

Access credentials, joining links, accounts and other access information supplied by FP are personal to the registered Participant unless FP expressly permits otherwise.

10.2 Confidentiality

The Participant shall keep access credentials confidential and shall not disclose them to another person.

10.3 Security incident

The Participant shall notify FP promptly if they become aware of unauthorised access to their Event account or access credentials.

10.4 Suspension

FP may suspend access where reasonably necessary to protect the Event, its systems, other Participants or third-party systems.

11. Intellectual Property and Course Materials

11.1 Ownership

All intellectual property rights in materials provided in connection with an Event, including slides, exercises, documentation, recordings, software, laboratory environments, databases, demonstrations and other content, remain vested in FP or its licensors.

11.2 Limited use

Subject to payment of the applicable Event fee, FP grants the Participant a limited, non-exclusive, non-transferable right to use the Event materials solely for the Participant’s own personal, professional or educational purposes.

11.3 Restrictions

Unless expressly authorised in writing by FP, the Registrant and Participant shall not:

  • copy or reproduce Event materials beyond what is reasonably necessary for permitted personal use;
  • publish or distribute Event materials;
  • sell or resell Event materials;
  • sublicense or transfer access;
  • incorporate FP materials into another training programme;
  • use FP materials to provide training to third parties;
  • commercially exploit FP’s materials; or
  • remove intellectual property notices.

11.4 Third-party materials

Materials supplied by third parties remain subject to the applicable third-party intellectual property rights and licence conditions.

11.5 Participant materials

Where a Participant voluntarily submits questions, comments, exercises or other materials to FP during an Event, FP may use those materials for the purposes of delivering and improving the Event, subject to applicable data protection and intellectual property laws.

12. No Resale and Commercial Exploitation

12.1 Prohibition

Unless expressly authorised by FP in writing, the Registrant and Participant shall not:

  • resell, sublicense, lease, rent, transfer or commercially exploit access to an Event;
  • share registration details, access credentials or Event links with an unauthorised person;
  • provide access to an Event or associated materials to a person who is not registered;
  • reproduce, distribute, publish, transmit or commercially exploit Event content;
  • use FP’s materials to provide, develop or support training or educational services for third parties;
  • use recordings, screenshots or photographs of an Event to create a competing or substantially similar training product; or
  • otherwise commercially exploit an Event or its materials without FP’s prior written consent.

12.2 Internal organisational use

Where a Business Customer registers an employee or other personnel, that Participant may use the Event materials for their internal professional purposes, provided that the materials are not distributed, resold or used to provide services to third parties.

12.3 Substitution

The permitted substitution of a Participant under clause 6 does not constitute prohibited resale or transfer.

12.4 Remedies

A breach of this clause is without prejudice to FP’s other rights and remedies under these Terms and applicable law.

13. Recording, Photography and Image Rights

13.1 Recording

FP may record an Event, in whole or in part, for purposes including:

  • providing catch-up access to registered Participants;
  • quality assurance;
  • trainer development;
  • internal training;
  • documentation of the Event; or
  • other purposes identified before recording begins.

13.2 Notification

Where FP intends to record an Event, Participants shall be informed before recording begins.

13.3 Participant participation in recordings

Where reasonably practicable, Participants who do not wish to appear in a recording may keep their camera and microphone switched off and may use written communication instead of speaking during recorded sessions.

13.4 Marketing use

FP shall not assume that participation in an Event constitutes consent to use a Participant’s identifiable image, voice or statements for unrelated marketing purposes where separate consent or another lawful basis is required. Any marketing use requiring consent shall be addressed separately.

13.5 Participant recording

Participants shall not record, photograph, screenshot, livestream or otherwise reproduce an Event or any part thereof without FP’s prior written consent.

14. Personal Data and Privacy

14.1 Privacy Policy

Personal data processed in connection with registration, payment, Event administration and delivery shall be processed in accordance with FP’s Privacy Policy.

The Privacy Policy forms part of the information provided to Registrants and Participants concerning FP’s processing of personal data.

14.2 Purposes

Depending on the circumstances, FP may process personal data for purposes including:

  • processing registrations;
  • administering payments;
  • communicating with Registrants and Participants;
  • delivering Events;
  • managing access to online platforms and training environments;
  • issuing certificates;
  • maintaining business and accounting records;
  • improving Events and services;
  • complying with legal obligations; and
  • sending direct marketing communications where permitted by applicable law.

14.3 Third-party providers

FP may use third-party service providers to process personal data in connection with Events, subject to applicable data protection requirements.

14.4 Participant rights

Information concerning data subjects’ rights, retention periods, recipients, international transfers and methods of exercising rights is set out in FP’s Privacy Policy.

15. Direct Marketing

15.1 Separate basis

Registration for an Event does not, by itself, constitute consent to receive direct marketing where consent is required by applicable law.

15.2 Marketing communications

Where FP sends direct marketing communications, it shall do so on a lawful basis and in accordance with applicable data protection and electronic communications legislation.

15.3 Consent

Where FP relies on consent, consent shall be obtained separately from acceptance of these Terms and may be withdrawn at any time.

15.4 Opt-out

Recipients may object to direct marketing or unsubscribe from marketing communications by contacting FP.

16. Third-Party Services

16.1 Use of third-party services

FP may use third-party service providers and platforms in connection with the registration, payment, organisation and delivery of an Event, including payment providers, video-conferencing platforms, communication platforms, hosting providers, learning-management systems, software providers, email providers and certification platforms.

16.2 Third-party terms

Use of a third-party service may be subject to that provider’s own terms and privacy policy.

16.3 Replacement

FP may replace a third-party service provider or platform where reasonably necessary, provided that the replacement does not materially reduce the standard or scope of the Event.

16.4 Third-party failures

FP shall not be responsible for the availability, performance, security, functionality or content of a third-party service to the extent that the relevant matter is outside FP’s reasonable control and is not attributable to FP. This does not affect any rights or remedies available under mandatory applicable law.

16.5 Payment services

Where a third-party payment provider is used, FP may rely on information received from that provider concerning successful or unsuccessful payment.

17. No Guarantee of Results and Educational Disclaimer

17.1 Educational purpose

Events are provided for general educational, informational and professional-development purposes. FP shall use reasonable care and skill in preparing and delivering an Event but does not guarantee that participation will achieve any particular result or outcome.

17.2 No particular result

FP does not warrant or guarantee that participation in an Event, completion of a course or receipt of a Certificate of Completion will:

  • result in any particular level of knowledge, skill or competence;
  • result in employment, promotion, accreditation, certification or other professional benefit;
  • achieve any particular cybersecurity, compliance, legal, operational or business outcome;
  • prevent, detect or mitigate any particular cyberattack, vulnerability, loss or other risk; or
  • satisfy any particular legal, regulatory, professional or industry requirement.

17.3 Educational materials

Examples, demonstrations, techniques, recommendations, tools, configurations and other information provided during an Event are provided for educational purposes.

Their applicability and effectiveness may vary depending on the circumstances, systems, technologies and environment in which they are used.

17.4 Participant responsibility

The Registrant and Participant remain responsible for determining whether and how information obtained during an Event should be applied to their circumstances.

Before applying any technique or recommendation to a live environment, the Registrant or Participant shall assess the relevant risks and obtain all necessary permissions and authorisations.

17.5 Cybersecurity disclaimer

Completion of cybersecurity training does not constitute a guarantee or representation that the Participant’s or Registrant’s systems, networks, applications, accounts or data are secure, compliant or protected against unauthorised access or other threats.

17.6 No professional advice

Unless expressly stated otherwise in the Event Information, an Event does not constitute legal, financial, medical, regulatory, compliance, cybersecurity or other professional advice concerning the specific circumstances of a Registrant or Participant.

18. Liability

18.1 Applicable law

FP shall be liable in accordance with applicable Belgian law for loss or damage caused by a breach of its contractual obligations or by a legally attributable act or omission.

18.2 Limitation

To the fullest extent permitted by applicable law, FP’s aggregate liability arising out of or in connection with an Event shall not exceed the total amount of fees actually paid to FP for the Event giving rise to the claim.

18.3 Excluded losses

To the fullest extent permitted by applicable law, FP shall not be liable for indirect or consequential loss, including loss of profit, revenue, business, opportunity, anticipated savings or reputation.

18.4 Participant’s systems

FP shall not be liable for loss or damage resulting from a Participant’s application of information, techniques, tools or recommendations provided during an Event, except to the extent that such loss or damage results from a breach of FP’s own obligations or liability which cannot lawfully be excluded.

18.5 Mandatory limitations

Nothing in these Terms excludes or limits liability which cannot lawfully be excluded or limited, including liability arising from intentional fault and any other liability for which exclusion or limitation is prohibited by mandatory law.

19. Force Majeure

19.1 Definition

Neither FP nor the Registrant shall be liable for any failure or delay in the performance of an obligation under these Terms to the extent that such failure or delay results from a force majeure event, being an event or circumstance that makes performance impossible and is not attributable to the party relying on it, taking into account its unforeseeable and unavoidable nature in accordance with applicable Belgian law.

19.2 Examples

Force majeure may include, without limitation:

  • natural disasters;
  • fire;
  • flood;
  • severe weather;
  • epidemic or pandemic;
  • war;
  • terrorism;
  • civil unrest;
  • strikes or other industrial action;
  • governmental or regulatory measures;
  • acts or restrictions of public authorities;
  • interruption of telecommunications or internet services;
  • serious power failures;
  • failure of hosting or critical infrastructure;
  • cyberattacks or serious cybersecurity incidents;
  • serious illness or unavailability of key personnel;
  • failure of a critical third-party service provider; or
  • any other circumstance satisfying the legal requirements for force majeure.

19.3 Notification

The party affected by force majeure shall notify the other party within a reasonable period after becoming aware of the event and its impact on performance. The affected party shall take reasonable measures to mitigate the consequences and, where reasonably possible, keep the other party informed.

19.4 Temporary impossibility

Where force majeure causes a temporary impossibility of performance, the affected obligation shall be suspended for the duration of the impossibility. In relation to an Event, FP may, where reasonably practicable, reschedule the Event or offer a transfer to an equivalent Event.

19.5 Permanent impossibility

Where delivery of an Event becomes permanently impossible, FP may cancel the Event and shall apply the cancellation and refund provisions of these Terms.

19.6 Increased cost

A circumstance shall not constitute force majeure merely because it makes performance more difficult, more expensive or less commercially advantageous unless the statutory requirements for force majeure are otherwise satisfied.

19.7 Existing payment obligations

Nothing in this clause affects payment obligations that became due before the occurrence of the force majeure event, except where applicable law provides otherwise.

20. Complaints

20.1 Contact

20.3 Response

FP shall acknowledge and handle complaints within a reasonable period, taking into account the nature and complexity of the complaint.

21. Amendments to these Terms

21.1 Future registrations

FP may amend these Terms from time to time. The version applicable to a registration shall normally be the version in force and made available to the Registrant at the time the contract is concluded.

21.2 Existing registrations

An amendment shall not materially alter the rights and obligations applicable to an existing registration unless:

  • required by law or a regulatory authority;
  • necessary to address a security or operational issue; or

These Terms, together with the applicable Event Information and registration confirmation, constitute the agreement between FP and the Registrant concerning the relevant Event, subject to any mandatory applicable law.

23.2 Order of precedence

In the event of a conflict, the following order of precedence shall apply:

  • mandatory applicable law;
  • any Event-specific contractual conditions expressly stated to override these Terms;
  • the registration confirmation;
  • these Terms;
  • general information published on FP’s website.

23.3 Severability

If any provision of these Terms is held to be invalid, unlawful or unenforceable, that provision shall be modified or disregarded only to the extent necessary, and the remaining provisions shall remain in full force and effect.

23.4 No waiver

Failure by either party to exercise or enforce a right under these Terms shall not constitute a waiver of that right.

23.5 Assignment

A Business Customer may not assign or transfer its contractual position without FP’s prior written consent, except where mandatory law provides otherwise.

23.6 No agency or partnership

Participation in an Event does not create any partnership, joint venture, employment, agency or representative relationship between FP and the Registrant or Participant.

23.7 Language

These Terms are drafted in English. If FP provides a translated version for information purposes, the English version shall prevail in the event of any inconsistency, unless mandatory law provides otherwise.

These Terms and the contractual relationship between FP and the Registrant shall be governed by and construed in accordance with Belgian law.
